These Terms of Service ("Terms") govern your access to and use of the Liquis platform, the Liquis Bridge hardware, related software, applications, APIs, agents, and websites (together, the "Service"), provided by Meterra Inc. ("Meterra," "we," "us"). By accessing the Service, requesting a demo, or clicking to accept, you ("you" or the "Customer") agree to these Terms. If you accept on behalf of an organization, you represent that you are authorized to bind it.
Liquis is a software platform for liquid-bulk logistics — dispatch, delivery capture, billing, and AI agents — together with the Liquis Bridge, a hardware device that connects certified meters and registers. The Service is provided on a subscription and, where applicable, hardware-provision basis. The Service is under active development; features may change, and some capabilities are offered on a pre-general-availability or founding-partner basis.
You must provide accurate account information and keep credentials secure. You are responsible for activity under your account and for your users' compliance with these Terms. The Service is for business use by organizations and their authorized personnel, not for consumers or minors.
Subscription fees, per-user fees, agent add-ons, and any hardware fees are billed per your selected edition and order. Payments are processed by our third-party payment processor (Stripe); by providing payment details you authorize recurring charges as described at purchase. Fees are non-refundable except as required by law or expressly stated. Any Liquis Bridge hardware provided on loan or as part of a subscription remains the property of Meterra and must be returned on termination unless purchased outright.
The Service, in whole and in every part, is and remains the exclusive property of Meterra and its licensors. This includes, without limitation, all software, source and object code, the Liquis Bridge hardware and its firmware, electronics, mechanical designs, schematics, and industrial designs; the platform's data models, algorithms, machine-learning models, AI agents and prompts; user interfaces, look and feel; documentation; and the "Liquis" and "Meterra" names, logos, and trademarks — together with all patents, copyrights, trade secrets, and other intellectual-property rights therein, and all improvements, derivatives, and extensions of any of the foregoing, whether existing now or created as the Service grows.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations during your subscription, subject to these Terms. All rights not expressly granted are reserved to Meterra. You may not, and may not permit others to: (a) copy, modify, distribute, sell, sublicense, or create derivative works of any part of the Service; (b) reverse-engineer, decompile, disassemble, or attempt to derive source code, hardware design, or trade secrets from the Service or the Liquis Bridge; (c) remove or obscure proprietary notices; (d) use the Service to build a competing product or to benchmark for a competitor; or (e) access the Service to replicate its features, hardware, or design.
Feedback. If you send us suggestions or feedback, you grant Meterra a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
The Service exposes non-public information — including the platform's features, the Liquis Bridge design and operation, pricing, roadmaps, and technical materials ("Meterra Confidential Information"). You will hold Meterra Confidential Information in confidence, use it only to use the Service as permitted, and not disclose it to third parties. This obligation survives termination. (Where a separate mutual non-disclosure agreement is executed between the parties, that agreement governs the mutual exchange of confidential information; these Terms otherwise protect Meterra's Confidential Information.)
As between the parties, you own the operational data you and your users put into the Service ("Customer Data"). You grant Meterra a license to host, process, and use Customer Data solely to provide, secure, and improve the Service for you, as described in our Privacy Policy. We do not sell Customer Data. Our handling of personal data is governed by the Privacy Policy, which is incorporated into these Terms.
You will not use the Service unlawfully, to infringe others' rights, to transmit malware, to interfere with the Service's operation or security, or to exceed the access granted to you. We may suspend access for conduct that threatens the Service or other customers.
Except as expressly stated in a signed agreement, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free. Metering, capture, and billing outputs are tools to assist your operation and do not replace your own verification obligations.
To the maximum extent permitted by law, Meterra will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to Meterra in the [twelve (12) months] preceding the claim.
These Terms apply while you use the Service. Either party may terminate as set out in your order or subscription. On termination, your license ends, you must stop using the Service and return any Meterra hardware, and Sections 4, 5, 8, 9, and 11 survive. We will make Customer Data available for export for a reasonable period as described in the Privacy Policy.
We may update these Terms; material changes will be communicated, and continued use constitutes acceptance. These Terms are governed by the laws of the State of [Illinois], USA, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts located in [Cook County, Illinois].
